We’re seeking a pragmatic, business-minded Staff Commercial Counsel to join our Legal team. Reporting to the Managing Lead Commercial Counsel, this role will support the company’s commercial contracting needs by drafting, reviewing, and negotiating a range of agreements, including routine and high-volume matters such as amendments, non-disclosure agreements, customer agreements, and vendor agreements.
You’ll partner with internal stakeholders across the company to help move commercial matters forward while managing risk in a practical, scalable way. The successful candidate will be agile, highly organized, and comfortable managing a high volume of work in a fast-paced, highly regulated healthcare environment. This is a full-time, fully remote position on our team. Occasional travel may be required for company or team events/meetings.
What you’ll do:
- Draft, review, negotiate, and execute a broad range of commercial agreements in support of the company’s operations and services, including customer agreements, vendor agreements, non-disclosure agreements, amendments, and related transactional documents.
- Partner with Sales, Customer Success, and other internal teams on transactions and contracting matters that support company growth.
- Provide practical, business-oriented legal guidance on commercial and contractual matters, including contract interpretation and risk allocation.
- Support Customer Success with client contract-administration processes, including responding to requests, facilitating notices, tracking renewals, and ensuring appropriate execution of legal documents.
- Support procurement and vendor-management activities, including review of third-party terms and negotiation of vendor agreements.
- Partner with internal subject-matter experts—including Privacy, Compliance, Regulatory, Security, and Operations—throughout the contract process, from request to execution.
- Help ensure adherence to contract-related policies and procedures; troubleshoot and resolve contract issues and challenges as they arise.
- Support continuous improvement of forms, policies, playbooks, and processes to streamline, simplify, and automate contracting.
- Support legal due diligence, strategic initiatives, and other corporate projects as needed.

- Demonstrate sound judgment, ownership, and reliability in managing assigned matters from intake through execution.
What you’ll bring:
- A J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
- 4+ years of relevant legal experience, preferably advising fast-paced healthcare, health-tech, technology, or other regulated organizations, either in-house or in private practice.
- Demonstrated experience drafting, reviewing, and negotiating commercial contracts.
- Ability to identify and assess legal and business issues efficiently, evaluate risk, and provide practical recommendations grounded in sound business judgment.
- Strong business acumen and the ability to manage multiple priorities in a busy, evolving environment.
- Exceptional drafting, negotiation, communication, organizational, project-management, and prioritization skills.
- Strong sense of ownership and accountability for assigned work.
- High integrity, professionalism, intellectual curiosity, and a willingness to learn and grow.
- Ability to build effective working relationships with colleagues at all levels of the organization.
- Commitment to maintaining the confidentiality of proprietary, sensitive, and personnel information.
Nice to have:
- Experience negotiating SaaS, technology, healthcare, or other regulated commercial agreements.
- Familiarity with customer agreements, vendor agreements, technology agreements, data protection agreements, marketing agreements, and other complex commercial contracts.
- Experience supporting a high-growth technology company.
- Experience building contracting infrastructure or implementing contract lifecycle management tools.
