Legal Counsel (Commercial Contracts & IP)

We are looking for a Legal Counsel to support a broad range of legal matters, with a primary focus on commercial contracts with clients and vendors.

The role also covers intellectual property, corporate matters, compliance, privacy, and other day-to-day legal issues across an international technology business.

Responsibilities

• Draft, review, and negotiate a wide range of contracts, including MSAs, SOWs, NDAs, DPAs, software, SaaS, licensing, and vendor agreements.
• Independently manage contract negotiations with clients, vendors, and external counsel.
• Identify legal and commercial risks and provide practical solutions and fallback positions.
• Advise internal teams on legal matters arising in different jurisdictions, with a focus on the US and Europe.
• Support IP-related matters, including software ownership, licensing, copyright, and trademarks.
• Support corporate, compliance, privacy, and other legal matters as needed.
• Conduct legal research and prepare clear, concise legal advice.

Requirements

• A Master’s degree in Law.
• 3+ years of relevant legal experience, preferably in an IT or technology company.
• Strong experience drafting and negotiating commercial and technology contracts governed by US law and/or English law.
• Good understanding of key technology-contract issues, including liability, indemnities, IP, data protection, information security, and licensing.
• Advanced English and Ukrainian.
• Practical experience using generative AI tools in legal work.

Nice to Have

• Understanding of the US tax system.
• Experience in the IT services, software development, or outsourcing industry.
• Experience with privacy, cybersecurity, or AI-related legal matters.
• Experience with information security and privacy frameworks or assurance standards, including ISO 27001, ISO 27701, SOC 2, or NIST frameworks.
• Experience implementing or building legal-tech or automation tools, including AI-assisted development.
