Corporate Counsel

Hims & Hers is seeking a Corporate Counsel to join their growing, collaborative Legal team. You will provide actionable legal advice on corporate transactions, securities laws, and regulations applicable to Hims & Hers, working in a fast-paced environment as a public company.

You Will:

• Support M&A, investments, capital markets, and financing transactions, managing ongoing obligations from transaction documentation
• Assist with SEC filings, including 10-Ks, 10-Qs, risk factors, 8-Ks, proxy statements, Section 16 reporting, and NYSE submissions
• Handle corporate governance matters, intercompany transactions, entity reorganizations, and corporate filings
• Advise on investor relations and corporate communications, including review of earnings materials and public/internal communications
• Provide practical, actionable, risk-based advice to executives, employees, and cross-functional teams on corporate and securities matters
• Collaborate with accounting, corporate development, finance, tax, people, equity, communications, and other teams
• Work with outside counsel to deliver efficient, practical, and business-oriented legal support
• Monitor and advise on impacts of new corporate and securities laws to ensure compliance
• Stay updated on governance trends, emerging legal issues, and recommend policy changes
• Identify and coordinate with subject-matter experts on issues involving privacy, product, employment, litigation, and healthcare regulations

You Have:

• A Juris Doctor from an ABA-accredited law school and an active license to practice law in at least one US jurisdiction
• 4+ years of experience post-law school in corporate, securities, and/or M&A at a law firm and/or in-house
• Experience leading strategic transactions, such as capital markets, M&A, or financing transactions, and advising on corporate governance matters for public companies
• Experience advising management and stakeholders on legal considerations and risks in corporate transactions or initiatives
• Experience with SEC rules, regulations, and compliance for public companies, including periodic reporting requirements and Regulation FD
• Experience working directly with senior leadership
• A strong record of providing creative, solution-focused advice
• A team-oriented mindset and positive attitude
• Ability to adapt quickly to a dynamic, fast-paced environment and handle multiple matters simultaneously
• Strong project management skills
• Ability to evaluate issues from legal and business perspectives with a practical, business-oriented approach
• Ability to translate complex legal issues into clear advice for business partners
• Ability to develop strong working relationships across functions and teams
• Excellent written, oral, and negotiation communication skills
• Experience in the technology or healthcare industries is a plus
• Familiarity with the FDA and other healthcare laws and regulations is a plus
