They are seeking a detail-oriented, self-driven Compliance & Corporate Paralegal to bring their state regulatory compliance and corporate entity management functions in-house.
The role involves maintaining the company’s multi-state regulatory compliance, managing licensing portfolios, and supporting core corporate governance. The ideal candidate must be comfortable operating independently across numerous state and regulatory deadlines, thrive on process and organization, and be eager to build scalable systems.
What You'll Own
Regulatory & state compliance
- Own the company's multi-state regulatory licensing portfolio, including industry-specific licenses and registrations.
- Track and maintain compliance with state healthcare and business regulatory requirements, monitoring changes in applicable laws and regulations.
- Maintain a centralized compliance calendar covering all licensing, registration, and regulatory filing deadlines, ensuring nothing lapses.
- Prepare, file, and track regulatory submissions with state agencies and boards, managing correspondence and follow-ups.
- Support the company's data protection and healthcare compliance programs (e.g., HIPAA, HITRUST), maintaining documentation, evidence, and audit readiness in coordination with security and privacy stakeholders.
Corporate paralegal & entity management
- Maintain corporate good standing across all states, including annual reports, franchise tax filings, foreign qualifications, and good-standing certificates.
- Support contract management processes across the organization in collaboration with RevOps, Finance, and business teams.
- Prepare board and stockholder consents, resolutions, and related documentation for corporate governance activities.
- Coordinate logistics for board and committee meetings, including scheduling, notices, and quorum tracking.
- Manage entity formation, qualification, dissolution, and conversion filings across domestic and international jurisdictions.
- Maintain good standing across all entities and manage registered agent services.
- Support special projects and other duties as assigned.
What Makes the Right Candidate Keep Reading
- 3+ years of experience in a compliance, regulatory, or corporate paralegal role with experience with US corporations.
- Demonstrated experience managing global and multi-state licensing, registrations, and/or corporate good-standing obligations at scale.
- Strong knowledge of corporate governance principles and entity maintenance requirements.
- Strong organizational and project-management skills, with a proven ability to manage a high volume of deadlines across many jurisdictions independently.
- Track record of researching state laws and drafting compliant policies and procedures with operational stakeholders.
- Excellent written communication and comfort corresponding directly with state agencies and regulators.
