We are seeking a Senior Counsel, Enterprise located in New York to support a high volume of commercial transactions across our enterprise Sales, Channel/Alliances, and Customer Success teams. This role is well-suited for someone with 6-10 years of experience in SaaS or technology contracting who is looking to deepen their in-house experience in a fast-paced, high-growth environment.
You will be a key partner to the Enterprise go-to-market teams to review, negotiate, and close commercial agreements, with a focus on efficiency, consistency, and enabling deal velocity. Enterprise customers require an experienced negotiator who can deal with complex issues and protect Horizon3 while balancing the needs of a sophisticated customer base.
This is a hands-on, business-facing role where you’ll build strong relationships with Sales and cross-functional partners, apply practical judgment, and contribute to improving templates and processes as the company scales.
What You’ll Do:
Commercial Transactions
- Draft, review, and negotiate a high volume of enterprise-focused commercial agreements, including:
- NDAs, SaaS subscription agreements (MSAs), order forms, and DPAs
- Evaluation and trial agreements
- Support Sales and Customer Success teams in closing deals efficiently while aligning with company risk guidelines
- Review and respond to customer contract requests, including redlines on standard agreements and occasional customer paper
Deal Support & Execution
- Partner closely with Sales and RevOps to keep deals moving and unblock contract-related issues
- Support enterprise business leaders
- Help balance speed and risk by providing clear, practical guidance to non-legal stakeholders
- Escalate more complex or non-standard issues appropriately
Templates & Process Improvement
- Use and help maintain standard templates, clause libraries, and negotiation guidelines
- Contribute to improving contract workflows and processes to support a high-volume sales environment
- Identify recurring issues and help drive consistency in how they’re handled
- Use of legal tech tools to streamline processing of agreements and deal close
Cross-Functional Collaboration
- Work with internal teams (Sales, RevOps, and Security/Privacy) to ensure contract terms align with our business and product
- Provide clear, concise guidance on common contract terms and when to involve Legal
- Support internal enablement efforts by helping stakeholders better understand standard terms and processes
What We’re Looking For
Required Qualifications
- J.D. (or equivalent) from an accredited law school; admitted to practice in at least one U.S. jurisdiction.
- 6-10 years of relevant experience at in-house, with a strong focus on commercial technology transactions.
- Direct experience with:
- Negotiating SaaS or cloud-based software agreements (customer and, ideally, partner/channel deals).
- Data protection/security issues in commercial contracts (e.g., DPAs, security exhibits, incident response, audit rights).
- Excellent contract drafting, negotiation, and communication skills, with the ability to give succinct, actionable advice to non-lawyers.
- Demonstrated ability to manage multiple deals and priorities in a fast-paced, high-growth environment.
- Demonstrated experience working with and advising senior sales leaders
Preferred Qualifications
- Experience in house legal within SaaS
- Experience supporting channel, MSP/MSSP, or distributor models.
- Familiarity with international contracting issues (e.g., cross-border data transfers, GDPR basics, export control).
- Comfort leveraging AI and legal tech tools to streamline drafting, review, and knowledge management.
- A plus to have prior cybersecurity experience.
