Role Summary

We are currently developing more than 8 fast-growing startup companies and are searching for a dedicated, highly experienced Senior Legal Counsel to join our centralized legal and financial team. Operating on a fully remote basis out of the Philippines, this high-stakes role will manage all legal lifecycles, cross-border corporate frameworks, and financing rounds across our dynamic portfolio ecosystem. You will serve as the core authority translating commercial risk landscapes into sound protection frameworks.

Key Responsibilities

• Portfolio Legal Infrastructure: Oversee, handle, and support all end-to-end legal activities, contractual structures, and corporate governance relations across our growing startup roster.
• Law Firm Governance: Lead and evaluate the operational delivery, project routing, and service quality of external top-tier law firms representing individual portfolio companies.
• Global Regulatory Compliance: Guarantee strict adherence to multi-jurisdictional legal requirements worldwide, overseeing critical registrations, corporate reporting setups, and operational licenses with local and international regulatory bodies.
• Risk Modeling & Mitigation: Analyze, identify, and trace structural legal and financial liabilities, establishing robust defensive strategies for venture transactions.
• Commercial Deal Structuring: Draft, review, and negotiate high-impact international commercial contracts including licensing agreements, manufacturing setups, distribution loops, and strategic joint-venture frameworks.

Required Skills & Qualifications

• Minimum of 7 years of progressive professional experience working within a top-tier corporate law firm or operating as an in-house General Counsel.
• Deep working mastery over general corporate law, commercial legal parameters, early-stage venture setups, and complex financing/investment round engineering (venture capital mechanics).
• Demonstrated experience writing, evaluating, and closing commercial transaction contracts (licensing, manufacturing, global supply chain, and vendor distribution agreements).
• Excellent verbal negotiation, interpersonal advocacy, and extended legal research knowledge base.
• Hard-working, proactive, and highly dynamic personality with the capability to perform autonomously under short lead times and tight operational deadlines.
• Language Requirement: Native or absolute professional proficiency level in written and spoken English.
• Location Context: 100% remote working infrastructure open to qualified legal professionals operating from the Philippines.
